Digital discovery and coordination utility - effective [effective date: launch day]

IMPORTANT REAL-WORLD ACTIVITY NOTICEWashedUp is software for discovery, communication, and coordination. Except when a listing expressly says WashedUp PBC is the organizer, WashedUp does not organize, host, supervise, control, produce, inspect, insure, or guarantee any Plan, Event, Community, venue, organizer, creator, participant, transportation, product, or service. Please read Sections 3 through 6 carefully.

These Terms are an agreement between you and WashedUp PBC, a Delaware public benefit corporation ("WashedUp," "we," "us"), with a mailing and legal-notice address at 380 South Euclid Avenue, Pasadena, California 91101. They govern the WashedUp applications, websites, communication tools, listings, communities, ticket checkout, paid membership, and related services (the "Platform").

1. eligibility, accounts, and acceptance

  • You must be at least 18 years old and legally able to enter a contract. We may require identity, age, authority, payment, or account verification.
  • Use accurate information, protect your credentials, and promptly report suspected account compromise. You are responsible for activity through your account unless it results from our failure to use reasonable care.
  • We use affirmative clickwrap for these Terms and material updates when required. We record the account, version, timestamp, and technical evidence reasonably needed to establish acceptance.
  • If you use the Platform for an organization, you represent that you have authority to bind it.

2. exact meanings

  • Plan. A user-created post or invitation used to find people who may want to do something together.
  • Community. A digital space operated by an independent creator or, if expressly identified, by WashedUp.
  • Event. An activity, gathering, class, experience, or other offering organized by the person or business identified on the listing.
  • Organizer. The independent user, creator, business, venue, or third party identified as responsible for a Plan, Community, or Event.
  • WashedUp-organized activity. An activity is organized by WashedUp only if the listing expressly states “Organized by WashedUp PBC.” Brand placement, discovery, promotion, payment facilitation, application review, or a collaboration logo does not by itself make WashedUp the organizer.
  • Content. Listings, profiles, messages, photos, application answers, reviews, comments, and other material submitted by users or third parties.

3. what WashedUp is - and is not

WashedUp is a digital discovery and coordination utility. It provides software that lets independent users and creators post Plans, discover third-party Events, form groups, communicate, and decide whether to meet. Except for a WashedUp-organized activity expressly identified as such, WashedUp is not the organizer, host, producer, promoter, venue, transportation provider, employer, agent, partner, joint venturer, fiduciary, insurer, or supervisor of any activity.

  • WashedUp does not direct or control when, where, how, or whether independent people meet or participate.
  • WashedUp does not undertake a duty to inspect venues, attend activities, verify permits, confirm insurance, background-check users, supervise conduct, provide security, or prevent injury or misconduct.
  • Application review, moderation, identity checks, badges, recommendations, ranking, featuring, or removal powers exist to operate the Platform. They are not safety certifications, endorsements, warranties, or promises of continuous monitoring.
  • Users and organizers contract and interact with one another independently. WashedUp is not a party to their arrangements unless a separate writing expressly says otherwise.
  • WashedUp may investigate reports, remove content, restrict accounts, or cooperate with authorities without assuming responsibility for independent activities or creating a duty to monitor all users or offline conduct.

4. your independent decision and responsibility

You decide whether to communicate with, meet, travel with, purchase from, or participate with another person. You are responsible for evaluating the listing, organizer, venue, activity, transportation, equipment, conditions, and people involved; asking questions; following applicable law and organizer or venue rules; and leaving or declining participation when appropriate.

Do not rely on WashedUp as a substitute for emergency services, professional advice, a background check, a venue inspection, insurance, or personal judgment. If there is an emergency or immediate threat, contact local emergency services.

5. assumption of risk and release

IN-PERSON INTERACTION AND REAL-WORLD ACTIVITIES MAY INVOLVE KNOWN AND UNKNOWN RISKS, INCLUDING ACCIDENT, ILLNESS, PHYSICAL INJURY, DISABILITY, DEATH, PROPERTY DAMAGE OR LOSS, THEFT, HARASSMENT, ASSAULT, FOOD OR ALLERGIC REACTIONS, ALCOHOL-RELATED HARM, WEATHER, TRAVEL, EQUIPMENT, EXERCISE, WATER, VEHICLES, ANIMALS, AND THE ACTS OR OMISSIONS OF OTHER PEOPLE. YOU VOLUNTARILY CHOOSE WHETHER TO PARTICIPATE AND ASSUME THE RISKS INHERENT IN OR ARISING FROM YOUR INDEPENDENT PARTICIPATION, TO THE FULLEST EXTENT PERMITTED BY LAW.

To the fullest extent permitted by law, you release WashedUp PBC and its affiliates, directors, officers, employees, and agents from claims, demands, liabilities, damages, losses, and expenses arising out of or relating to: (a) independent Plans, Events, Communities, venues, organizers, creators, participants, vendors, transportation, products, or services; (b) your communications, meetings, transactions, travel, attendance, participation, exclusion, or interactions with another user or third party; or (c) third-party Content. This release does not apply to the extent a claim is directly caused by WashedUp’s gross negligence, willful misconduct, fraud, or another liability that cannot legally be released.

To the fullest extent permitted by law, you waive the protections of California Civil Code section 1542 and any similar law for claims within the scope of this release. Section 1542 generally provides that a general release does not extend to claims that the releasing party does not know or suspect to exist and that, if known, would have materially affected the settlement or release. This waiver does not expand the release beyond what applicable law permits.

6. no guarantee of users, organizers, content, or outcomes

We do not guarantee the identity, background, qualifications, licenses, authority, insurance, trustworthiness, conduct, safety, legality, accuracy, quality, accessibility, attendance, availability, or suitability of any user, creator, organizer, listing, venue, Event, Plan, Community, ticket, product, or service. Information supplied by users and third parties may be incomplete, inaccurate, delayed, misleading, or fraudulent. You should independently verify information important to your decision.

7. user conduct and content

  • Do not harass, threaten, exploit, discriminate unlawfully, impersonate, defraud, stalk, endanger, or violate another person’s rights.
  • Do not post illegal, deceptive, infringing, dangerous, sexually exploitative, or materially inaccurate Content.
  • Do not scrape, export, reverse engineer, bypass access controls, misuse personal information, or use Platform data to train or enrich an external model without written permission.
  • You remain responsible for Content you submit and for your conduct online and offline.

8. content license and third-party content

You keep ownership of your Content. You grant WashedUp a nonexclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, format, display, distribute, communicate, and use it as reasonably necessary to operate, secure, improve, and promote the Platform and the listing, Plan, Community, or Event to which it relates. The license ends when the Content is removed, subject to reasonable backup, archival, legal, safety, dispute, and already-produced promotional uses.

You represent that you have the rights needed for your Content. WashedUp is not responsible for Content or communications supplied by another user or third party. We generally do not review all Content before publication. We may moderate or remove Content in good faith but are not obligated to monitor everything.

9. creators, communities, tickets, and third-party services

  • Creator applicants and approved creators must accept the Creator Terms and Creator Data Addendum. Approval authorizes use of specified Platform tools; it is not an endorsement or certification.
  • For an independent Event sold through WashedUp checkout, the organizer identified at checkout is the seller and provider of the Event. WashedUp provides listing, checkout, payment-facilitation, communication, and administrative tools as described in the applicable terms.
  • External ticketing sites, venues, maps, payment processors, app stores, transportation providers, and other third parties have their own terms and policies. WashedUp does not control them.
  • The WashedUp Contributor Membership provides digital access to one WashedUp-operated community. Membership does not make independent Plans or Events inside or discovered through that community WashedUp-organized activities.

10. moderation, reporting, and no duty to intervene

We may receive reports, review available information, preserve evidence, remove Content, limit discovery or messaging, suspend or terminate accounts, process refunds, contact processors or organizers, and cooperate with authorities. These powers are discretionary Platform protections. They do not create a promise or duty to detect, prevent, investigate, resolve, or warn about every risk, violation, dispute, user, Event, or offline interaction.

11. suspension, termination, and records

We may restrict or terminate access for safety concerns, fraud, illegality, privacy misuse, account compromise, payment risk, serious or repeated violations, legal or processor requirements, or risk to the Platform or others. Account deletion or termination does not erase accrued obligations, transaction records, consent evidence, safety records, legal holds, backups in ordinary rotation, or information retained as described in the Privacy Policy.

12. warranty disclaimer

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” WASHEDUP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WASHEDUP DOES NOT WARRANT THAT THE PLATFORM, USERS, CREATORS, ORGANIZERS, CONTENT, PLANS, COMMUNITIES, EVENTS, PAYMENTS, OR THIRD-PARTY SERVICES WILL BE SAFE, ACCURATE, AVAILABLE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOU. NOTHING EXCLUDES A WARRANTY OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED.

13. limitation of liability

To the maximum extent permitted by law, WashedUp and its affiliates will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, opportunity, data, or goodwill; or damages arising from an independent user, creator, organizer, Plan, Event, Community, venue, vendor, transportation provider, transaction, or third-party service. WashedUp’s total aggregate liability arising from the Platform will not exceed the greater of $100 or the amount you paid directly to WashedUp during the 12 months before the event giving rise to the claim. These limits do not apply to WashedUp’s gross negligence, willful misconduct, fraud, nonwaivable statutory liability, or liability that cannot lawfully be limited.

14. indemnity

To the extent permitted by law, you will defend, indemnify, and hold harmless WashedUp, its affiliates, and their directors, officers, employees, agents, and service providers from third-party claims, investigations, damages, losses, penalties, refunds, chargebacks, and reasonable legal fees arising from your Content, Plan, Event, Community, conduct, transaction, violation of law or these Terms, misuse of another person’s information or rights, or intentional or negligent misconduct. This obligation does not apply to the extent a claim was caused by WashedUp’s gross negligence, willful misconduct, or independent violation of law.

15. law, courts, notices, and changes

  • California law governs, without regard to conflict-of-law principles. Subject to eligible small claims, disputes must be brought in California state courts in Los Angeles County or the United States District Court for the Central District of California. These Terms do not require arbitration or contain a predispute jury-trial waiver.
  • If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder continues.
  • Legal notices to WashedUp go to legal@washedup.app and 380 South Euclid Avenue, Pasadena, California 91101. Routine support may use the same email until role-based inboxes are live.
  • Electronic records, clickwrap acceptance, and electronic notices satisfy writing and signature requirements to the extent permitted by law.
  • We will provide reasonable notice of material changes and obtain new affirmative acceptance when required by law or when changing the release, recurring billing, member-information use, or dispute terms.
